1. Agreement to Terms

By accessing and using GenWise ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

GenWise is an AI-powered legal and compliance platform that provides:

• Automated contract analysis and review
• Regulatory compliance monitoring
• Legal document generation
• Risk assessment and alerts
• Team collaboration tools

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.

4. Acceptable Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates applicable federal, state, local, or international law
• To transmit, or procure the sending of, any advertising or promotional material
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of GenWise and its licensors. The Service is protected by copyright, trademark, and other laws.

6. User Content

Our Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service.

7. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

8. Prohibited Uses

You may not use our Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate

9. Subscription and Billing

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis. Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select.

10. Free Trial

GenWise may offer a Subscription with a free trial for a limited period of time. You may be required to enter your billing information in order to sign up for the free trial.

11. Refunds

Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by GenWise on a case-by-case basis.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

13. Disclaimer

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, this Company:

• Excludes all representations and warranties relating to this Service and its contents
• Excludes all liability for damages arising out of or in connection with your use of this Service

14. Limitation of Liability

In no case shall GenWise, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, punitive, special, or consequential damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

15. Governing Law

These Terms shall be interpreted and governed by the laws of the State of California, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
